Macfarlane Group has announced the acquisition of 100% of B&D 2010 Group, a UK-based specialist protective packaging company, for a maximum cash consideration of £3.85m.
B&D serves customers in the expanding aerospace, defence, and space sectors, throughout the UK and globally.
The deal aligns with Macfarlane’s strategy of growing its protective packaging division through a combination of organic and acquisitive growth.
The transaction includes an earn-out of up to £0.55m based on an agreed profit growth target over one year. It will be financed entirely from the Group’s existing £35.0 million bank facility.
Macfarlane CEO Peter Atkinson said: “B&D is an excellent business servicing high-quality customers in attractive growth sectors and complements Macfarlane’s existing specialist protective packaging activities.
“We look forward to working with the team at B&D to support its continued growth.” B&D currently employs 15 staff at its facility in Southampton.
The strategic acquisition will allow Macfarlane to deliver B&D’s existing customers with additional packaging solutions. It will also help to develop new customers in the sectors in which B&D specialises.
Headquartered in Glasgow, Scotland, Macfarlane Group supplies protective packaging products to aid customers in lowering supply chain costs, enhancing operational efficiencies, and improving their brand presentation.
The firm has more than 1,000 people at 37 sites, mainly in the UK, as well as in Ireland, Germany and the Netherlands.
In May this year, Macfarlane bought A & G Holdings, the owner of Gottlieb Packaging Materials, for a maximum cash consideration of £3.55m.
Through its warehouse facilities in Manchester, Gottlieb supplies protective packaging products to customers across a wide range of sectors.
